The short version
- Your booking is a consultation. It is not the audit.
- After the consultation, we complete a full audit of your software stack. For that we need access to your software and a person from your accounting or finance side.
- Once we have completed the full audit, we guarantee to find at least $1,000 in savings. If we don't, we pay you $1,000.
- We choose whether that $1,000 is paid in cash or as credit toward Right Tech Soft services. Credit can pay for services in full, with no minimum spend.
The sections below are the full terms and take priority over this summary.
1. About this guarantee
1.1 This guarantee is offered by Right Tech Soft LLC ("Right Tech Soft", "we", "us") to the business that books a Tech Stack Audit through this website ("you").
1.2 These terms supplement our Terms of Service. If the two conflict on a matter concerning this guarantee, these terms apply.
1.3 The guarantee is offered to businesses. It is not available for personal or household use.
1.4 By booking a Tech Stack Audit, you agree to these terms.
2. The consultation and the full audit
2.1 The booking is not the audit. The call you book on this website is an initial consultation. We use it to learn about your business and the software you use, and to agree the scope of the full audit. No audit work is completed during the consultation, and the guarantee does not apply to it.
2.2 The full audit comes after the consultation. The full audit is a separate stage. It begins after the initial consultation, once you have given us what we need under section 3.
2.3 When the full audit is complete. The full audit is complete when we deliver a written report to you setting out the savings we have identified (the "Audit Report"). We will tell you in writing when this has happened.
3. What we need from you
3.1 Access to your software. You will give us the access we reasonably need to the software and services your business uses. This may include administrator or read-only access, billing and subscription pages, usage reports, or exports and screen-sharing where direct access is not possible.
3.2 Your finance team. You will put us in touch with your accounting team or another person in finance who can show us what you are paying for. You will give us the records we reasonably need to review every active subscription and recurring charge, for example card and bank statements, invoices, and expense-management reports.
3.3 Accurate information. What you give us must be complete and accurate. You confirm that you have the authority to give us the access and records we ask for, and you will get any third-party consent that is needed.
3.4 How we use your access. We will ask only for the access reasonably needed for the audit, and we will ask for read-only access where the software allows it. We will use that access and information only to carry out the audit. We will not cancel, change, or buy anything in your accounts unless you instruct us in writing. You can withdraw our access at any time.
3.5 Timing. If we have not received what we need under this section within 30 days of asking, the full audit is treated as not completed through no fault of ours, and the guarantee does not apply.
4. The guarantee
4.1 After we have completed the full audit, we guarantee that the Audit Report will identify at least $1,000 in Identified Savings.
4.2 If the Audit Report identifies less than $1,000 in Identified Savings, you are entitled to a payment of $1,000 (the "Guarantee Payment"), subject to these terms.
4.3 "Identified Savings" means reductions in your recurring software and subscription costs that we identify and document in the Audit Report. Examples are unused or duplicate subscriptions, overlapping tools, plans or seats larger than you need, and avoidable fees. Identified Savings are measured on an annual basis, using the amounts you currently pay.
4.4 The guarantee is about what we identify. You do not have to cancel or change anything for the guarantee to be met, and we do not guarantee that you will in fact realise any particular saving. Actual savings may be affected by your contract terms, renewal dates, and cancellation fees.
5. Making a claim
5.1 To claim the Guarantee Payment, email [email protected] within 30 days after we deliver the Audit Report.
5.2 We will review your claim and reply in writing within 10 business days. We may ask you questions to help us do so.
5.3 If you disagree with the total in the Audit Report, tell us which items you dispute and why. We will consider them in good faith.
5.4 The Guarantee Payment is available only if you have met the requirements in section 3 and the information you gave us was accurate. Each business can receive one Guarantee Payment.
6. How the Guarantee Payment is made
6.1 Cash or credit, at our discretion. We decide whether to pay the Guarantee Payment in cash or as a credit toward services provided by Right Tech Soft. We will tell you which in our written reply to your claim.
6.2 If we pay in cash, we will pay you $1,000 within 30 days of our written reply, by a method we choose. You are responsible for any taxes that apply to the payment.
6.3 If we pay as credit, the following apply:
- The credit is worth $1,000 and reduces the fees you owe for services provided by Right Tech Soft, dollar for dollar.
- There is no minimum spend. The credit can cover the full amount of a service, including a service that costs $1,000 or less. You are never required to buy more than the value of the credit, or to spend any set amount, in order to use it.
- If a service costs more than the credit, we deduct the credit from the price and you pay the balance. If it costs less, the unused part of the credit stays available for future services.
- The credit has no cash value, cannot be transferred, and cannot be exchanged for cash.
- The credit can be used for 12 months from the date we issue it.
7. Limits of the guarantee
7.1 The guarantee does not apply if the full audit is not completed because you did not meet section 3, if you gave us inaccurate or misleading information, or if you do not claim within the time in section 5.1.
7.2 The Guarantee Payment is your only remedy in relation to the guarantee, and our total liability for it is limited to $1,000.
7.3 The Audit Report is a business review of your software costs. It is not legal, tax, or accounting advice. Check any contract before you cancel or change a subscription.
8. Privacy and confidentiality
8.1 We handle the information and access you give us in line with our Privacy Policy and our Terms of Service, and we keep it confidential.
9. Changes to the guarantee
9.1 We may change or withdraw the guarantee for future bookings. The terms that apply to you are the terms shown on this page on the day you submitted your booking request.
10. General
10.1 These terms are governed by the laws of the state of Delaware, United States. Before either of us starts court action, we will make our best efforts to resolve the dispute through good-faith discussion. Each of us submits to the non-exclusive jurisdiction of the courts of the state of Delaware.
10.2 If any part of these terms is found unenforceable, the rest still applies. Our not enforcing a term at a given time does not waive it.
